Acceptance of Terms

Please read the following important Terms of Use Agreement (the “Agreement”) carefully. The Agreement governs your access to and use of the websites owned or managed by Hello Media LLC or its Affiliates (“Hello Media”) and that link to or reference the Agreement (each individually a “Website” and collectively the “Websites”), and constitutes a binding legal agreement between you, as a user of the Website, and Hello Media, the provider of the Website. Your access to and use of the Website requires your compliance with the Agreement and the terms and conditions contained herein. By accessing and/or using the Website, you agree to be bound by the Agreement. If at any time you do not accept all the terms and conditions of this Agreement, you must immediately discontinue use of the Website. This Agreement sets forth Hello Media’s terms and conditions with respect to its operation of the Websites; other policies and agreements govern Hello Media’s non-Internet operations.

To access or use the Website you must be over 18 years of age.

Affiliates

As used in the Agreement, the term “Affiliates” means any other Person that directly or indirectly controls, is controlled by, or is under common control with Hello Media LLC. The term “control” (including, with correlative meanings, the terms “controlled by” and “under common control with”) as applied to any Person means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of such Person, whether through the ownership of voting securities or other ownership interest. The term “Person” means any individual, partnership, corporation, limited liability company, unincorporated organization or association, any trust, or any other business entity.

Products and Services Offered/Discussed on Website

Certain products or services offered by or discussed on the Website or the Websites may be governed by additional terms (“Additional Terms”) presented in conjunction with those products or services. You must agree to these Additional Terms before using those products or services. In the event of an irreconcilable inconsistency between the Additional Terms and this Agreement, the Additional Terms will control. In order to procure products and services via the Website you: (a) you must have a valid e-mail address and create an account with us (an "Account") by providing complete and accurate registration information, (b) if the applicant is registering as an individual, the applicant must be at least 21 years old, or if the applicant is registering on behalf of a business, the applicant must be duly authorized to enter into this Agreement and the Additional Terms on behalf of the business, and (c) you must be (i) a permanent U.S. resident (which does not include holders of U.S. visas), (ii) a U.S. citizen, or (iii) a business entity authorized to do business and having a physical presence in the United States. We may refuse at any time and for any reason to provide the Service to anyone. You shall be solely responsible for the use of your Account and any transaction entered into through the Account shall be binding amongst you and Hello Media regardless of whether the use was authorized by you or not. While the Website may contain information about certain products or services, including information on pricing and availability of certain products and services, such information is an estimate and is provided for informational purposes only and is not an offer by Hello Media. The actual price of certain products and services may differ from what appears on the Website and certain products and services may not be available in all areas.

Amendments to the Agreement

Hello Media reserves the right, in its sole discretion, to modify, alter, or otherwise change the Agreement at any time and without notice. All modified terms and conditions will be effective after the modified terms and conditions have been posted on the Website. Please review the Agreement periodically for changes. If any modified terms and conditions are not acceptable to you, you must immediately discontinue use of the Website. Further, if any modified terms and conditions are not acceptable to you, your sole remedy is to cease using the Website. By continuing to access or use the Website after any posted modification to the Agreement, you agree to be bound by such changes.

Privacy

Certain personally identifiable information may be collected from you. When you use the Website, Hello Media may monitor your usage of the Website. By using the Website, you agree that Hello Media may collect, use and disclose certain information you provide during the use of the Website, and in some cases information that is provided by other parties.

Any applicable privacy policy for the Website or Websites will not be considered an Additional Term. In the event of an irreconcilable inconsistency between the privacy policy and this Agreement, the terms of this Agreement will control. You acknowledge and agree that Hello Media may collect and disclose certain personally identifiable information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process or other governmental inquiry; (b) enforce the Agreement; (c) take action regarding suspected illegal activities; (d) protect Hello Media’s rights, reputation, and property, or that of Hello Media’s affiliates, or the public. If you use the Website outside of the United States, you consent to having your personal data transferred to and processed in the United States.

Cookies Policy

We may use "cookies" and other tracking technologies (for example, "web beacons") to know your interests, the pages browsed, your traffic patterns, and your behavior. This allows us to provide you with better service and content that interests you.

You can disable cookies and web beacons at any time. However, deactivating these technologies may prevent you from using and enjoying all the functionalities we offer.

If you choose to access the Website from outside the United States, you do so at your own risk and initiative, and you are responsible for compliance with any applicable national and local laws. You agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside. No Content or any other materials associated with the Website may be downloaded or otherwise exported or re-exported to countries or persons prohibited under export control laws, including but not limited to countries against which the United States has embargoed goods, or to anyone on the U.S. Treasury Department list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department’s Table of Deny Orders. You are responsible for compliance with the laws of your local jurisdiction regarding the import, export, or re-export of any such materials. Content, Software, and Downloads Available Through the Website

You understand that the Website provides you with information, data, text, sound, photographs, graphics, images, video, software, messages, or other material (collectively, “Content”), and that such Content may be provided by third parties (“Third Party Content”). You agree that Hello Media, in its sole discretion, may remove and discard any Content within the Website, for any reason. Any software that is made available to view and/or download on the Website, including podcasts, audio streaming, or video streaming, is protected by copyright laws and international treaty provisions. Your use of any software is governed by the terms of any end-user license agreement which accompanies or is included with the software. Hello Media is not responsible or liable for any software owned or controlled by third parties.

Links to Third Party Sites Outside of the Service

Restrictions

Attempt to decipher, decompile, disassemble, reverse engineer, or otherwise attempt to discover or determine the source code of any software or other intellectual property associated with the Website.
Use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of the Website.
Use any automated system, including but not limited to robots, spiders, or offline readers, to access the Website in a manner that sends more request messages to Hello Media servers than a human can reasonably produce in the same period of time.
Use the Website for any commercial purpose or any illegal or unauthorized purpose.
Collect or store personal data about other users of the Website without their express permission.
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Engage in any activity that may impose an unreasonable or disproportionately large load on the Website or its infrastructure.

Termination

Hello Media reserves the right, at its sole discretion, to terminate your access to the Website, or any part thereof, at any time, with or without cause, and with or without notice. Hello Media may also terminate or suspend your Account at its sole discretion if you violate the Agreement or any applicable Additional Terms.

Disclaimer of Warranties

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HELLO MEDIA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK.

Limitation of Liability

IN NO EVENT SHALL HELLO MEDIA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR ANY CONTENT THEREON, EVEN IF HELLO MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Hello Media, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Website, any violation of the Agreement or Additional Terms, or any violation of any rights of another party.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement or your use of the Website shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the jurisdiction of such courts and waive any objections to venue or inconvenient forum.

General Provisions

Entire Agreement: This Agreement, together with any Additional Terms, constitutes the entire agreement between you and Hello Media regarding your use of the Website and supersedes all prior or contemporaneous agreements, understandings, and representations.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall continue in full force and effect.
Waiver: The failure of Hello Media to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
Assignment: Hello Media may assign this Agreement, in whole or in part, at any time without notice to you. You may not assign this Agreement without Hello Media's prior written consent.
Force Majeure: Hello Media shall not be liable for any failure to perform its obligations under this Agreement if such failure is due to any cause beyond its reasonable control, including but not limited to natural disasters, war, terrorism, or government action.
